Questions for Albion AGM - Tuesday 3rd September. Will Patrick Reeve still be in office on Wednesday? Will Albion Capital Group llp be closed down completely?

Image
No reply yet received to my request for answers ahead of the AGM: My letter of representation to appear, ask questions and vote is from AJ Bell.  Questions by Mark Gregory Hardy, Penny House, Pound Green, Thurlow CB9 7HY, a shareholder of Albion [ERRATUM: ENTERPRISE not Evolution] VCT plc, at (or before) the AGM to be held on 3 rd  September 2024: General: Why does Albion Capital Group llp always file accounts at Companies House for all its managed VCTs before the accounts have been received/reviewed/adopted by shareholders at the AGMs? The accounts for this company were filed with The Registrar yesterday 12th August 2024 - 3 weeks before the AGM. Resolution 1: Why does the Directors Report (page 27) state that the combined “Albion VCTs” have only a 8.5% interest in the Voting Rights of Quantexa Ltd when the true figure is 9.5%? (see attached). Why did the Directors not disclose that a further 2.6% is owned by the Chairman and other members of Albion Capital Group llp in non-t...

Should Colin Bell the CEO of HSBC Bank plc and the others in the mugshots below be behind bars for their continuing Criminal Conduct? Why would anyone trust HSBC ever again?

Where is Sarah? The farce continues ... 523 days and counting. Nowhere to be found at Companies House https://find-and-update.company-information.service.gov.uk/company/10045407/officers BUT here is the Quantexa unchanged website this morning: Other than not wanting to have to file Amended Accounts the only plausible excuse is that QUANTEXA is a busted flush and all directors (particularly the "Compliance expert" Colin Bell) are frightened of their position when they are deemed to be "trading whilst insolvent" and they hope to never be prosecuted for Perjury and avoid extended prison sentences if/when QUANTEXA is liquidated.

You would have thought that by now ........ (sung to the tune of Freddie Mercury and "Another one bites the dust")

Try reconciling today's Companies House filings with both the legal requirements and the "porkies" that are being told to the Public by fully regulated City of London Asset Managers: ---------------------------------------------------------------------------------------------------------------------- ------------------------------------------------------------------------------------------------------------------- My former Joint Venture partners and fellow Company Directors (US$50m more than 35 years ago, Rod Kent and Peter  Winkworth of Close Brothers plc ) will surely be ashamed and appalled by the misconduct of the man they recruited at that time and to whom they then sold the VCT business. Is it safe or advisable to carry on any business in the City of London?

[UPDATED 13 August] Senior lawyer starts "Naming and Shaming" some company law compliance miscreants.

"From little acorns mighty oak trees grow." https://taxpolicy.org.uk/2024/08/10/list_of_plcs_that_have_missed_accounting_deadline/ ... the UK's most respected investigative tax lawyer Anyone seen Sarah?     Colin Bell (CEO HSBC Bank plc) and his cronies need to be in Court and sentenced to lengthy prison terms "pour encourager les autres". Voltaire had it right in 1759 when he wrote those words.  Will the new Secretary of State start a public naming and shaming policy - as Dan Neidle has shown - it doesn't take a rocket scientist to produce even weekly updates. UPDATE: 13 August 2024 "Britain is trying ( "and deliberately failing") to clean up its dirtiest secret" https://www.politico.eu/article/virgin-islands-andrew-fahie-corruption-britain-tries-to-clean-up-its-dirtiest-secret/ "Britain’s role in the darker side of financial services. Be it in the City of London...." Anyone seen Sarah Diamond on a beach from which she can be...

The Emperor's new clothes... The City of London is yet again revealed in all its nakedness of corruption and fraud.

Anyone else going to confront Patrick Reeve, Chairman Albion Group LLP     and one of the masterminds and personal beneficiaries of the Quantexa fraud and swindle on "my company", Albion Enterprise VCT plc of which he is also Chairman, at the AGM on 3rd September 2024? Didn't anyone know I am a shareholder? Oh dear. Reeve is a Chartered Accountant - member of Institute of Chartered Accountants in England & Wales ("ICAEW") Will he resign before the AGM - probably. Do look at the records of Companies House post appointment of new Scottish Auditors and most is laid bare for all to see, so that anyone with half a brain can spot the total gross incompetence of Reeve and all the Albion Management that has been going on year after year, and the falsity of the declarations in the Confirmation Statements under penalty of Perjury.  s.30 Companies Act 2006 means all Directors have to resign and Albion have to go as being probably the most incompetent Company Secretary ...

491 days to free a Journalist from Putin's clutches - how much longer before Colin Bell and his cronies comply with the laws of the UK - 512 days and still counting

QUANTEXA is a farce. Making knowingly false statements and omitting other statutory disclosure in accounts dated 21 December 2023 is the least of its problems. Anyone awake at the Department for Business and Trade now that Kemi has gone? Today's news of cancellation of investments in AI etc should also include a winding-up order against QUANTEXA on public interest grounds. How much of the Series E money has it burnt through in the last 15 months?

British Business Bank plc deliberately "sponsors" yet more false statements to the SEC that it's investment managers are regulated in the UK

Do look at what has just surfaced. https://reports.adviserinfo.sec.gov/reports/ADV/319748/PDF/319748.pdf s.1(M) page 4. The statement is an outright lie that is repeated despite all prior disclosures and is intended to defraud US and UK investors and is being actively promoted by British Business Bank plc. The UK is now beyond all doubt the worst regulated country in the OECD. Why on earth is the Chair of the FCA still on the Board of the Prudential Regulatory Authority? Will Richard Seewald now be sent to prison? This is what happens if no-one complies with UK laws and why the City of London is the biggest magnet for money laundering and economic crime. Add in staff at the Department of Trade and Business fired for openly taking bribes, biased Judges being directly paid by 3rd parties including a Director of the prinicipal agency of the Department, and no-one should be in any doubt that the UK is a corrupt jurisdiction. Is QUANTEXA to be renamed "The Big CONtexa"? It should ...

500 days of criminal activity by Colin Bell (CEO HSBC Bank plc) and his colleagues that shows no signs of abating

Where is Sarah Diamond? Still missing from the records of the UK Authorities. At least Colin Bell didn't get appointed as CEO of HSBC Group - is his goose cooked for ever? Has the Registrar of Companies finished her investigation? Does anyone in the UK believe in compliance with or respect for the Rule of Law?  Seems not... more ex spooks with snouts in the trough following the appointment of Varun Chandra of Hakluyt & Company Ltd as the Government's emisssary to get foreigners to invest in the UK - do look at his own pretty grim company law compliance record that he can sell to overseas gangs as being an example of "don't worry you won't get caught if you don't file anything on time - and you certainly won't have to pay any fines".

St Swithin's day 15 July 2024 ......(and Sarah is still missing)

St Swithin is famous for his posthunous miracle working... Perhaps Chartered Accountants Ireland are awaiting the miracle of the latest crop of Deloitte's partners miraculously findng their way into its records without human intervention. Leprechauns to the rescue! All part of KPMG's, Deloitte's and ICAEW's ongoing falsification of the Register of Statutory Auditors. Anyone looked at how many hundreds of people Richard Houston says are partners of Deloittes but aren't recorded at the ICAEW as such? One law for KPMG and another law for Deloitte. You couldn't invent this. The UK really is at the bottom of the cesspit of regulatory compliance thanks to ICAEW and the Irish - ps the Scots are not much better. I wonder if my suggestions to Rachel Reeves will find their way into the King's Speech on Wednesday? An easy £1,000,000,000+ pa for her and all at the personal cost of thousands of Chartered Accountants and Solicitors so the general public will/should proba...

Financial Conduct Authority embeds Albion Capital Group llp's fraud on its shareholders into new self-regulating disclosures

To no-one's surprise today's FCA announcement of changes to the Listing Rules revert to the old and failed self-regulation system in the matter of Related Party dealings.  I wonder what the FCA will eventually decide to do about Albion's existing frauds and self dealing to unlawfully benefit Albion's management in the Quantexa scam? Perhaps all will be revealed by the FCA in time for the next AGMs of the VCTs. Anyone else going to be present - even virtually? Seems to me that the clock has been well and truly turned back to pre Big-Bang and anyone who invests in any Listed company in London is now seen as fair game for being ripped off by the directors/managers trading for themselves.  Come back Robert Maxwell, Asil Nadir and Jimmy Goldsmith - all is forgiven.
